Appifywiz – Terms of Service

Effective date: 01 Sep 2025

1. Overview

These Terms of Service (the “Terms”) are a binding agreement between you (“Customer”, “you”) and Appifywiz Ltd. (“Appifywiz”, “we”, “our”) governing your access to and use of:

– The public website located at Appifywiz.io and its sub‑domains (collectively, the “Site”); and

– Appifywiz add‑ons listed on the Atlassian® Marketplace and any related cloud services (the “Apps” or “Services”), including MergeVision.

By installing an App, signing an order, or otherwise using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity. If you do not agree, do not install or use the Services.

These Terms incorporate and require compliance with:

– Our Privacy Policy;

– Our Acceptable Use Policy (AUP);

– Any order or online purchase confirmation issued via the Atlassian Marketplace (the “Order”); and

– Atlassian’s Marketplace Partner Agreement and applicable end‑user terms.

Where Atlassian terms conflict with these Terms, Atlassian terms control solely to the extent of conflict. Atlassian Pty Ltd. and its affiliates are express third‑party beneficiaries of these Terms and may enforce them directly against you.

2. Definitions

  • Account – Billing and licence record created in Atlassian Marketplace.
  • Authorised User – Employee, contractor, or agent you allow to use the Services.
  • Customer Data – Information you provide to support (e.g., tickets, screenshots). Appifywiz does not copy or store Atlassian in‑product content (e.g., Jira issues, Confluence pages, Bitbucket code/ comments).
  • Documentation – Usage guides and release notes on the Site.
  • SubscriptionLicence period purchased as shown on the Atlassian invoice.

3. Licence Grant & Restrictions

Licence. Subject to payment of fees and compliance (including the AUP), Appifywiz grants you a non‑exclusive, non‑transferable, worldwide licence during the Subscription to install and use the Apps within the Atlassian products specified in the Order for your internal business purposes.

Restrictions. You must not: (a) sublicense, resell, or provide the Services to third parties; (b) reverse‑engineer source code (except where non‑excludable by law); (c) remove proprietary notices or branding; (d) use the Services to transmit unlawful content, malware, or spam; (e) access the Services to build or benchmark a competing product; or (f) engage in any activity prohibited by the AUP.

4. Customer Responsibilities

  • Account security – Keep Atlassian credentials and API tokens secure.
  • Legal compliance – Follow export‑control and data‑protection laws.
  • Backups – Follow Atlassian guidance to back up your workspace data.

5. Our Obligations

  • Availability – Target 99% monthly uptime for cloud‑hosted components (excluding Atlassian platform outages and maintenance announced ≥ 24 hours in advance).
  • Support – Business hours Mon–Fri 09:00–17:00 (GMT+3, Tel‑Aviv). Target first response within 2 business days. No credits apply during a suspension caused by your breach of the AUP.
  • Security – We follow the measures in the Privacy Policy and will notify you of any data‑breach incident within 72 hours of confirmation.
  • Updates – We may deploy fixes and enhancements at any time; major workflow changes will be noted in the release notes.
  • Beta features – Provided “AS IS” and may be withdrawn; feedback may be used without obligation.

6. Fees & Payment

Fees are collected by Atlassian and are non‑refundable except

(i) as required by law,

(ii) under Atlassian’s refund policy, or

(iii) at our discretion for material defects reported within 30 days of installation.

Renewals are managed in the Marketplace; you control auto‑renew in my.atlassian.com. If renewal fees are not paid, an App may enter read‑only mode or cease to function.

7. Intellectual Property

Appifywiz retains all rights in the Services and Documentation. You own Customer Data. Open‑source notices (if any) are published at https://appifywiz.io/oss‑notices.

8. Data Protection

Personal‑data processing is governed by the Privacy Policy. Appifywiz is controller only for licence, billing, support, and marketing data; it does not store Atlassian in‑product content.

9. Warranties & Disclaimers

  • Mutual – Each party warrants it has authority to enter these Terms and will comply with applicable laws.
  • Service warranty – The Services will materially conform to Documentation; exclusive remedy is re‑performance or refund of unused fees.
  • Disclaimer – Except as stated, the Services are provided “AS IS” / “AS AVAILABLE.” All implied warranties (merchantability, fitness, non‑infringement) are disclaimed to the maximum extent allowed by law.

10. Limitation of Liability

(a) Neither party is liable for indirect, consequential, special or punitive damages, or lost profits.

(b) Aggregate liability is capped at fees paid in the 12 months preceding the claim. These limits do not apply to liability that cannot be excluded by law.

11. Indemnity

You will indemnify Appifywiz against third‑party claims arising from

(a) your breach of these Terms or the AUP;

(b) Customer Data that infringes rights; or

(c) your unlawful use of the Services.

12. Term & Termination

Term. Begins on installation or Order execution and continues for the Subscription.

For cause. Either party may terminate if the other materially breaches these Terms or the AUP and fails to cure within 30 days.

Effect. Licences end and you must stop using the Services. Upon request within 30 days, we delete or return Customer Data unless lawfully required to retain it.

13. Changes to These Terms

Material changes will be posted on the Site or notified in‑app at least 30 days before taking effect (“change control” notice window). Continued use after that date constitutes acceptance.

14. General

  • Assignment – You may not assign these Terms without our written consent; we may assign to an affiliate or in connection with a merger or asset sale.
  • Export compliance – Do not use the Services in breach of U.S., EU, UK or Israeli sanctions/export laws.
  • Severability. If a clause is unenforceable, the remainder stays in effect.
  • Waiver – Failure to enforce a clause is not a waiver.
  • Entire agreement – These Terms plus referenced documents form the entire agreement.

15. Governing Law & Venue

These Terms are governed by the laws of Israel. Courts of Tel‑Aviv–Jaffa have exclusive jurisdiction over disputes.
